The following terms are incorporated into the agreement signed between Holistic Tree Works LLC, and the customer.

Holistic Tree Works LLC warrants that the work to be performed will be accomplished in a neat and workmanlike manner by personnel outfitted with the necessary tools and equipment to complete the scope of work aforementioned.

Holistic Tree Works LLC warrants that all pruning work will be completed in line with the American National Standards Institute (ANSI) A300 tree care standards. All operations are performed in accordance with ANSI A133 safety standards for arborists and arboricultural operators. For more information about ANSI standards, please visit their website.

In the event of inclement weather, equipment malfunctions, unexpected staffing issues, or any other condition outside the control of Holistic Tree Works LLC, Holistic Tree Works LLC reserves the right to reschedule the agreed upon date to a future date mutually convenient to both parties.

Tree and Property Ownership:

The customer warrants that all trees listed in this contract are located on his/her property, and if not, that he/she has obtained permission/consent from the rightful owner to allow Holistic Tree Works LLC to work on said tree(s). Should any tree or property be mistakenly identified as to ownership, the customer agrees to indemnify Holistic Tree Works LLC and its employees, managers, members, contractors, and agents against any and all claims arising out of such misidentification, including without limitation, cost of damages incurred as a result of the work performed thereon and any and all court costs and attorney’s fees.

Lawn repair exclusion:

Holistic Tree Works LLC and it’s employees will make every effort to minimize disturbance to the customer’s lawn, however the customer understands and acknowledges that we must utilize vehicles and equipment to perform tree care services. The customer understands and acknowledges that unless specifically provided for herein, lawn repairs are not included in this contract. The customer agrees to indemnify Holistic Tree Works LLC from any cost of damages incurred to the customer’s lawn, incidental to and necessary for, the performance of tree removals and/or pruning, including damages caused by driving, divots, and/or placing equipment on lawn for the necessity of performing such work, and waives the right to sue Holistic Tree Works LLC or its employees, managers, members, contractors, and agents for any such damage.

In addition any object, shrub, plant or other sensitive item within the under-story of trees that is/are identified as a "target" is the client’s responsibility to either move or waive rights to claim damages to such unless provided for in writing on front of contract, as above damages. Saw dust, leaves, and wood chips are incidental to the removal of any material, and as such shall not be considered as damage.

Concealed objects:

The customer agrees to pay Holistic Tree Works LLC on a time and materials basis for any additional work required to complete the job occasioned by concrete, metal, stone or other foreign matter in the trunk, branches, or root structure. Rock, pipe, electrical lines, etc. encountered while performing such tasks, or any other conditions not apparent in estimating the work specified. The customer agrees to inform Holistic Tree Works LLC of all private underground utilities and further indemnifies Holistic Tree Works LLC of any damages done to such private utilities if not identified. Holistic Tree Works LLC reserves the right to charge the customer for any damages to equipment incidental to performance of contract.

Job Site:

The Job Site shall include all areas used and to be used by Holistic Tree Works LLC in the performance of the work, including all areas needed for mobilization, access, hauling, boom swing, ingress and egress. Customer warrants that the Job Site is either: (1) located on the Customer's property; and/or (2) located on another's property and the Customer has received full permission from the other property owner to enter into this Contract, to conduct work contemplated by the Contract on that property, and to grant such permissions to Holistic Tree Works LLC and all Holistic Tree Works LLC employees, managers, members, contractors, and agents.

Job Site entry:

Customer agrees not to enter the Job Site during the performance of the work unless authorized to do so by the crew leader on-site. Customers further agree to keep the job site free and clear from all employees, family members, children and pets.⸻

Stumps:

Unless specifically provided for, stump grinding shall not be included. Trees ‘removed’ will be cut as close as possible to ground level, without causing damage to either saw chain or equipment: usually within 4” of grade, unless dirt or other debris is present at base of trunk. Height will be adjusted to protect equipment.

Pet Waste:

Job site must be free of all animal waste when the crew arrives as they will be running ropes and rigging gear on the ground and when those items are contaminated it can cause delays, safety issues, and in extreme cases even cancellations of work. When necessary, and in its sole discretion, Holistic Tree Works LLC will refuse the cleanup portion of the project, and amend the price if appropriate. A cleaning surcharge of $500 will be applied as needed, and will be due before work will commence.

Payment terms:

Unless otherwise agreed to and indicated herein, the customer agrees to pay all amounts outstanding on the customer’s account with Holistic Tree Works LLC upon completion of work. Should there be a default in payment of this contract, and it is necessary to utilize an attorney for collections, the customer agrees to pay all costs of collections, including attorney’s fees/court costs. Any payments not made upon completion of the work will be charged a monthly fee of 1.5% of the outstanding balance until paid in full.

Acceptable funds shall be cash, check or electronic transfer. By submitting final payment, client has inspected and approves of all completed work, and that Holistic Tree Works LLC has satisfactorily addressed any problems or concerns. Any work requested by customer not included in the above scope of work shall be considered extra and will be performed only at an additional price agreed upon between parties. Holistic Tree Works LLC reserves the right to terminate this proposal if not accepted within 30 days.

Package Pricing:

Any contract that includes multiple items is priced as a project. The subtraction of item(s) by client, from a negotiated project package, will cause the original agreement to revert to individual item pricing. In addition any discounts given for any reason shall not apply to a contract that has been materially changed.

Cancellation:

If the tree crew arrives at the customer’s property prior to cancellation, customer agrees to pay a minimum service call charge equal to 20% of contract. In cases where special equipment or supplies have been acquired for the purpose of completion of said project; such as rental equipment, non-returnable equipment, or any other items specific for the safety of crew members, the cost for these items shall also be paid by the customer.

Disclaimer Of Warranties:

Except as expressly set forth in a written agreement signed by the Company, Holistic Tree Works LLC provides all services, work, advice, recommendations, and deliverables on an “as is” basis. To the fullest extent permitted by applicable law, the Company makes no warranties, representations, or guarantees of any kind, whether express, implied, statutory, or otherwise, including but not limited to any warranties of merchantability, fitness for a particular purpose, workmanship, performance, durability, condition, or non-infringement.

Without limiting the foregoing, the Company does not warrant or guarantee:

• The future condition, structural integrity, longevity, or behavior of any tree, plant, or vegetation, regardless of the work performed;

• That any tree, limb, or root system will not fail in the future due to hidden defects, internal decay, environmental conditions, acts of nature, or events outside the Company’s control.

• That pruning, cabling, bracing, treatments, or other arboricultural work will prevent future failure, disease, decline, or infestation.

• That stump grinding will remove all subsurface roots, debris, obstructions, or hazards, or prevent regrowth.

• That property conditions will remain stable, including soil, grade, drainage, or underground conditions.

• That weather, storms, pests, or other natural forces will not cause damage after the completion of the work.

Interpretation of contract:

This writing, along with the corresponding proposal, contains the entire agreement between the parties and may not be changed, except in writing signed by both parties. The validity, performance, contraction, and effect of this contract shall be governed by the laws of the State of Illinois. The parties consent to the personal and exclusive jurisdiction of the federal and state courts of Illinois for all cases and controversies arising out of or related to this Agreement, including without limitation court cases.
